The terms that apply when you use VectraBid.
1. About These Terms
These Terms & Conditions govern your use of VectraBid and form the agreement between you and VectraBid in relation to your use of the service.
By creating an account, accessing VectraBid or using the service, you agree to these Terms & Conditions. If you use VectraBid on behalf of an organisation, you confirm that you have authority to accept these terms on that organisation's behalf.
If you do not agree to these terms, you should not use VectraBid.
2. Eligibility and Accounts
You may use VectraBid only where you are legally able to enter into a binding agreement and are authorised to use the service.
You must provide accurate information when creating and maintaining your account and must not knowingly create or use an account using false or misleading information.
You are responsible for maintaining the security of your account credentials and for activity carried out through your account. You must take reasonable steps to prevent unauthorised access and notify VectraBid if you become aware of suspected unauthorised access.
You must not share account credentials in a way that bypasses the access controls or user arrangements provided by VectraBid.
3. Organisation Use
Where VectraBid is used by an organisation, the organisation is responsible for the users it authorises to access its account and for ensuring that those users have appropriate authority to access its information.
Organisation owners and authorised users are responsible for managing access to their organisation and ensuring that user permissions are appropriate.
You must not access information belonging to another organisation unless you have been properly authorised to do so.
4. Customer Content
You retain responsibility for the information, documents and other content that you provide to VectraBid.
You confirm that you have the necessary rights, permissions and authority to provide that content to VectraBid for processing and storage as part of the service.
You must not upload or submit content that you do not have the right to use or provide.
You must ensure that any personal information or confidential information supplied to VectraBid is provided lawfully and appropriately.
5. Intellectual Property
VectraBid and its underlying software, systems, branding, design, content and technology are owned by or licensed to VectraBid and are protected by applicable intellectual property laws.
Your use of VectraBid does not transfer ownership of VectraBid's intellectual property to you.
Subject to these terms, VectraBid grants you the right to use the service for its intended business purpose during the period in which you are authorised to use it.
6. Acceptable Use
You may use VectraBid for legitimate business purposes and in accordance with applicable laws and regulations.
You must not use VectraBid:
- for any unlawful or fraudulent purpose
- to gain unauthorised access to another account or organisation
- to interfere with or compromise the security or operation of the service
- to introduce malicious code, malware or other harmful material
- to reverse engineer or attempt to extract the source code of the service except where permitted by law
- to copy, reproduce or commercially exploit VectraBid or its materials without permission
- to place unreasonable demands on the service
- to circumvent access controls or other technical restrictions
7. Third-Party Services
VectraBid may rely on third-party services and infrastructure to provide certain parts of the service.
Your use of VectraBid may therefore be affected by the availability and operation of third-party services.
VectraBid will take reasonable steps to manage its use of third-party services but cannot guarantee the continued availability of any particular third-party service.
8. Service Availability and Changes
VectraBid is provided as an online service and we will make reasonable efforts to keep the service available and operating reliably.
However, we do not guarantee that VectraBid will always be available, uninterrupted or free from errors.
We may make changes to VectraBid where reasonably necessary to improve the service, maintain security, comply with legal requirements or develop new features.
9. Suspension and Termination
VectraBid may suspend or restrict access where reasonably necessary to protect the service, its users or third parties, including where there is a serious or suspected breach of these Terms & Conditions.
Where reasonably practicable, VectraBid will seek to provide appropriate notice before taking action, unless immediate action is required for security, legal or operational reasons.
Suspension or termination does not remove any rights or obligations that are intended to continue after the end of your use of the service.
10. Disclaimers and Liability
VectraBid is provided using reasonable care and skill, but we do not guarantee that the service will be suitable for every particular business purpose or requirement.
You remain responsible for ensuring that your use of VectraBid is appropriate for your circumstances and for complying with any obligations that apply to your organisation.
To the fullest extent permitted by law, VectraBid will not be liable for indirect or consequential loss, loss of profits, loss of business, loss of opportunity or loss of anticipated savings arising from your use of the service.
VectraBid's total liability arising from or in connection with your use of the service will be limited to the amount permitted by applicable law and, where a financial limit is permitted, to the amount paid by the relevant organisation to VectraBid for the service during the twelve months preceding the event giving rise to the claim.
Nothing in these Terms & Conditions limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited or excluded.
11. Indemnity
Where permitted by law, you agree to be responsible for losses, claims and reasonable costs arising from your unlawful use of VectraBid, your breach of these Terms & Conditions or your infringement of another person's rights.
This does not apply to the extent that a claim or loss results from VectraBid's own breach of its legal obligations.
12. Changes to These Terms
We may update these Terms & Conditions from time to time to reflect changes to VectraBid, applicable legal requirements or the way the service is provided.
The latest version will be made available on this page. Where a change is material, we will take reasonable steps to make the change clear to users before it takes effect where appropriate.
13. Governing Law and Contact
These Terms & Conditions are governed by the laws of England and Wales.
Subject to any mandatory rights you may have under applicable law, the courts of England and Wales will have jurisdiction over disputes arising from or relating to these Terms & Conditions.
